Affiliate Program Terms & Conditions

1. Introduction

These Affiliate Program Terms & Conditions ("Affiliate Terms") govern your participation in the ProductiveBot Affiliate Program ("Program") operated by OG Analytics Holdings, LLC, doing business as ProductiveBot ("ProductiveBot," "we," "us," or "our"). These Affiliate Terms are in addition to and supplement GoAffPro's Affiliate Program Operating Agreement and ProductiveBot's general Terms of Service at productivebot.ai/policies/terms-of-service. In the event of a conflict between these Affiliate Terms and GoAffPro's default terms, these Affiliate Terms shall control.

By enrolling in the Program, you ("Affiliate," "Partner," "you," or "your") agree to be bound by these Affiliate Terms.


2. Program Overview

The ProductiveBot Affiliate Program allows approved partners to earn commissions by referring customers who purchase ProductiveBot products. The Program is managed through GoAffPro and is accessible via the Partner Portal.


3. Commission Structure

3.1 Tiered Commissions

Tier Rolling 90-Day Sales Commission Per Unit
**Partner** 1 to 5 units $100 per unit sold
**Pro Partner** 6 to 15 units $125 per unit sold
**Elite Partner** 16 or more units $150 per unit sold

3.2 Tier Evaluation

Your tier is evaluated on a rolling 6-month (180-day) basis. At the end of each 6-month period, tiers reset by one level (not to zero). If your sales volume qualifies you for a higher tier within the current period, the higher commission rate applies to qualifying sales in that period.

3.3 Quarterly Top Performer Bonus

The top 3 affiliates each quarter receive:

  • Inventory allocation priority — guaranteed units during supply shortages
  • A 1:1 session directly with Alex, founder of ProductiveBot

3.4 Commission Calculation

Commissions are calculated as a flat dollar amount per qualifying sale. Commissions are not calculated on shipping costs, taxes, or amounts refunded.


4. Qualifying Sales and Attribution

4.1 Tracking Methods

Sales are attributed to affiliates through two methods:

1. Cookie-Based Tracking: When a potential customer clicks your unique referral link, a first-party tracking cookie is placed in their browser. Any qualifying purchase made within the cookie duration window is attributed to you.

2. Coupon Code Tracking: When a customer uses your unique affiliate coupon code at checkout, the sale is attributed to you regardless of whether a tracking cookie is present.

4.2 Cookie Duration

The tracking cookie is valid for 60 days from the date the potential customer clicks your referral link. If the customer makes a purchase within this 60-day window, you receive credit for the sale.

4.3 Last-Click Attribution

If a customer clicks multiple affiliate links, the last affiliate link clicked before purchase receives the commission ("last-click attribution"), unless a coupon code from a different affiliate is used at checkout, in which case the coupon code takes priority.


5. Payment Terms

5.1 Payment Schedule

Commissions are paid on a Net-30 basis from the date of sale. Payments are processed on the 1st of the month following the end of the 30-day hold period. If the 30-day hold period for a given sale ends before the 15th of the month, payment may be processed on the 15th of that month at ProductiveBot's discretion.

5.2 Minimum Payout Threshold

The minimum payout threshold is $100. If your earned commissions do not meet this threshold in a given payout cycle, they will roll over to the following cycle until the threshold is met.

5.3 Payment Methods

Available payment methods include:

  • PayPal (primary)
  • Bank transfer (ACH)
  • Other methods as made available through the Partner Portal

5.4 Tax Responsibilities

You are solely responsible for all taxes owed on commissions earned through the Program. U.S.-based affiliates earning $600 or more in a calendar year will be required to provide a completed W-9 form before the first payout. ProductiveBot will issue a 1099-NEC for qualifying earnings as required by law. International affiliate tax requirements will be determined on a case-by-case basis.


6. Refunds, Returns, and Commission Clawbacks

6.1 Return Period

If a customer who was referred by you returns their ProductiveBot product within the return window specified in ProductiveBot's Terms of Service (currently 14 days from delivery), the commission for that sale will be reversed.

6.2 Chargebacks

If a referred customer initiates a chargeback or payment dispute before the Net-30 hold period closes, the associated commission will be voided. No commission is paid on reversed transactions. If a chargeback is initiated after commission has been paid, the amount will be deducted from future earnings.

6.3 Fraudulent Orders

Commissions earned through fraudulent, deceptive, or manipulated transactions will be reversed, and your account may be terminated immediately without notice.


7. Affiliate Obligations

7.1 Hard Requirements

To remain an active affiliate, you must:

  • Own and actively use a ProductiveBot unit — non-negotiable
  • Complete the onboarding training (30-minute video and quiz) before your first commission is paid

7.2 Content and Community Requirements

  • Publish a minimum of 2 video posts per month on your public social media accounts featuring or mentioning ProductiveBot. You must tag @ProductiveBot in all posts.
  • Actively engage in the ProductiveBot community (Skool and/or Slack) — answering questions, sharing wins, and supporting other members.
  • Consistent non-compliance with content or community requirements is grounds for inactivity review.

7.3 Inactivity Policy

Any affiliate with zero sales AND no community activity for 90 consecutive days is moved to Inactive status. Inactive partners lose access to the Partner Portal and their spot may be offered to someone on the waitlist. Reactivation is possible through a direct conversation with Alex.

7.4 FTC Disclosure Requirements

You must comply with the Federal Trade Commission's (FTC) Endorsement Guides. This means you must clearly and conspicuously disclose your affiliate relationship with ProductiveBot in all content where you promote or recommend ProductiveBot products. Examples of acceptable disclosures include:

  • "I'm a ProductiveBot partner and earn a commission if you buy through my link."
  • "This post contains affiliate links. I may receive compensation for purchases made through these links."
  • "#ad" or "#affiliate" used prominently (not buried in a long list of hashtags)

Failure to comply with FTC disclosure requirements may result in immediate termination from the Program.

7.5 Accurate Representation

You must represent ProductiveBot products accurately. You must not:

  • Make false or misleading claims about product capabilities
  • Guarantee specific results, outcomes, or earnings
  • Misrepresent the product's AI capabilities or limitations
  • Imply endorsement by any third party without authorization
  • Use customer testimonials without proper permission

7.6 Prohibited Marketing Practices

You must not:

  • Bid on ProductiveBot brand terms (including "ProductiveBot," "Productive Bot," or variations) in paid search advertising (Google Ads, Bing Ads, etc.) without prior written approval
  • Send unsolicited commercial email (spam) promoting ProductiveBot
  • Use cookie stuffing, ad injection, or any other deceptive tracking methods
  • Create websites or social media accounts that impersonate ProductiveBot or could be confused with official ProductiveBot channels
  • Offer unauthorized discounts, deals, or promotions beyond your assigned coupon code
  • Purchase ProductiveBot products through your own affiliate link for the purpose of earning a commission (self-referrals)

8. Multi-Level / Sub-Affiliate Program

8.1 Eligibility

The sub-affiliate recruitment feature is available to Elite Partners at ProductiveBot's discretion. Eligibility may be granted or revoked at any time.

8.2 Sub-Affiliate Override Commission

When an Elite Partner recruits a new affiliate into the Program, the Elite Partner earns a flat $25 per unit sold by their recruited sub-affiliate, in addition to the sub-affiliate's own commission.

8.3 Sub-Affiliate Terms

All sub-affiliates are subject to the same terms and conditions as any other affiliate in the Program. The recruiting affiliate is not responsible for the actions of their sub-affiliates, but ProductiveBot reserves the right to revoke MLM privileges if a pattern of problematic sub-affiliate behavior is identified.

8.4 Recruitment Bonus

A one-time $50 bonus is earned for each sub-affiliate you recruit who completes 3 or more qualifying sales.


9. Skill Store Revenue Share

9.1 Founding-Era Rate

Affiliates who create and publish skills in the ProductiveBot Skill Store during the founding era retain 95% of skill revenue. ProductiveBot retains 5%.

9.2 Future Rate Changes

The founding-era rate is a launch commitment, not a permanent guarantee. ProductiveBot reserves the right to adjust the Skill Store revenue split with a minimum of 90 days' written notice to affected creators. Payment processing fees (~2.9% + $0.30/transaction) are covered by ProductiveBot during the founding era.


10. Intellectual Property and Brand Usage

10.1 Limited License

Upon acceptance into the Program, you are granted a limited, non-exclusive, revocable license to use ProductiveBot's name, logo, and approved marketing materials solely for the purpose of promoting ProductiveBot products as part of this Program.

10.2 Brand Guidelines

You must use ProductiveBot branding materials only as provided or approved by us. You must not:

  • Alter, modify, or distort ProductiveBot logos or branding
  • Use ProductiveBot branding in a way that implies a partnership, endorsement, or affiliation beyond the affiliate relationship
  • Register any domain name, social media handle, or trademark containing "ProductiveBot" or confusingly similar variations

10.3 ProductiveBot IP Protection

The intellectual property protections outlined in Section 8 of ProductiveBot's Terms of Service apply fully to affiliates. You must not reverse engineer, decompile, copy, reproduce, or redistribute any ProductiveBot proprietary software, configurations, skills, scripts, or other proprietary materials. Any violation of ProductiveBot's intellectual property rights will result in immediate termination and may result in legal action.

10.4 Content Ownership

Any original content you create to promote ProductiveBot (reviews, tutorials, social posts, etc.) remains your property. However, you grant ProductiveBot a non-exclusive, royalty-free, worldwide license to use, reproduce, and share such content for ProductiveBot's marketing purposes.


11. Confidentiality

You may receive confidential information through the Program, including commission rates, sales data, product roadmaps, marketing strategies, or proprietary tools. You agree to keep all confidential information strictly confidential and not disclose it to any third party without prior written consent from ProductiveBot.


12. Termination

12.1 Termination by Either Party

Either party may terminate this agreement at any time, for any reason, with 14 days' written notice.

12.2 Termination for Cause

ProductiveBot may terminate your participation immediately and without notice if you:

  • Violate any provision of these Affiliate Terms
  • Engage in fraudulent or deceptive practices
  • Violate FTC disclosure requirements
  • Damage ProductiveBot's brand or reputation
  • Violate any applicable law or regulation

12.3 Effect of Termination

Upon termination:

  • All pending commissions for verified, non-refunded sales that have passed the Net-30 hold period will be paid in the next scheduled payment cycle, provided the minimum payout threshold is met
  • Your access to the Partner Portal will be revoked
  • You must immediately cease using all ProductiveBot branding materials and remove all affiliate links from your properties
  • The confidentiality obligations in Section 11 survive termination indefinitely

12.4 Commission Forfeiture

If your participation is terminated for cause (fraud, deception, material breach, or illegal activity), all unpaid commissions are forfeited.


13. Program Changes

ProductiveBot reserves the right to modify these Affiliate Terms, commission rates, tier structures, cookie duration, Skill Store revenue share, or any aspect of the Program at any time. Material changes will be communicated via email and/or through the Partner Portal with at least 30 days' notice (90 days for Skill Store revenue share changes). Continued participation after the effective date of changes constitutes acceptance of the modified terms. No commission rate, tier structure, or program benefit is guaranteed permanently.


14. Limitation of Liability

ProductiveBot's total liability arising out of or related to the Program shall not exceed the total commissions paid to you in the 12 months preceding the event giving rise to the claim. ProductiveBot is not liable for any indirect, incidental, special, consequential, or punitive damages related to your participation in the Program.


15. Indemnification

You agree to indemnify, defend, and hold harmless OG Analytics Holdings, LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your participation in the Program
  • Your violation of these Affiliate Terms
  • Your marketing activities and content
  • Any claims by third parties related to your promotional activities

16. Relationship of Parties

You are an independent contractor. Nothing in these Affiliate Terms creates an employment, partnership, joint venture, or agency relationship between you and ProductiveBot. You have no authority to bind ProductiveBot to any obligation.


17. Governing Law and Dispute Resolution

These Affiliate Terms are governed by the laws of the State of Missouri, United States, without regard to conflicts of law principles. Any disputes arising under these terms shall be resolved in the state or federal courts located in Missouri.


18. Entire Agreement

These Affiliate Terms, together with GoAffPro's Affiliate Program Operating Agreement and ProductiveBot's Terms of Service, constitute the entire agreement between you and ProductiveBot regarding your participation in the Program.
