1. Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you and OG Analytics Holdings, LLC, doing business as ProductiveBot ("ProductiveBot," "we," "us," or "our"). By purchasing or using ProductiveBot, you agree to these Terms. If you do not agree, do not use the product.

2. What ProductiveBot Is

ProductiveBot is a pre-configured hardware device (Mac Mini) with AI assistant software. The device runs locally on your network. AI responses are generated using third-party API services (Anthropic, OpenAI, or similar providers).

3. What You Are Responsible For

3.1 API Keys and Accounts

  • You must obtain your own API key from Anthropic, OpenAI, or another supported provider
  • You are responsible for all charges incurred through your API key
  • You must comply with your API provider's terms of service
  • API costs are determined by the AI provider (e.g., Anthropic, OpenAI) based on your usage and are the customer's responsibility. Costs vary and are billed directly by the provider.

3.2 Data and Privacy

  • All conversations and data are stored locally on your ProductiveBot device
  • When you interact with the AI, your prompts are sent to the API provider for processing
  • You are responsible for the content you submit through the system

3.3 Use Restrictions

You agree NOT to use ProductiveBot to:

  • Generate illegal, harmful, or abusive content
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Harass, defame, or harm others
  • Attempt to bypass safety measures of the underlying AI models

4. What We Provide

4.1 Hardware

  • One Mac Mini with ProductiveBot software pre-installed
  • Hardware is covered by Apple's standard warranty

4.2 Software

  • Pre-configured AI assistant software
  • Access to web-based chat interface
  • Documentation for setup and basic use

4.3 Support

  • Starter Tier: Community support via Skool
  • Pro Tier: Priority email support for 90 days

5. What We Do NOT Provide

  • API credits or API key management
  • Guaranteed uptime or availability
  • Custom development or integrations
  • Legal, financial, medical, or professional advice through the AI
  • Liability for AI-generated content

6. Limitation of Liability

ProductiveBot uses AI models that may produce inaccurate, incomplete, or inappropriate responses. YOU ARE SOLELY RESPONSIBLE for reviewing and verifying any AI-generated content before acting on it.

ProductiveBot software is provided "AS IS" without warranty of any kind. Our total liability shall not exceed the amount you paid for the product.

7. Refunds and Returns

  • Hardware may be returned within 14 days of delivery if unopened
  • Opened hardware may be returned within 14 days for a refund minus a 15% restocking fee
  • Software and support are non-refundable once the device has been set up

8. Intellectual Property & Proprietary Rights

Ownership: All proprietary software, configurations, skills, scripts, workflows, setup processes, branding, documentation, and any other materials created by or on behalf of OG Analytics Holdings, LLC ("Proprietary Materials") are and shall remain the exclusive property of OG Analytics Holdings, LLC. Your purchase of a ProductiveBot device grants you a limited, non-exclusive, non-transferable license to use the Proprietary Materials solely on your purchased device for personal or internal business use.

Strictly Prohibited Activities: You agree that you will NOT, under any circumstances:

  • Copy, reproduce, duplicate, or clone any Proprietary Materials, in whole or in part
  • Reverse engineer, decompile, or disassemble any proprietary software, configurations, or skills
  • Redistribute, sell, sublicense, lease, or otherwise transfer any Proprietary Materials to any third party
  • Use any Proprietary Materials to create a competing product or service
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices
  • Share, publish, or make publicly available any proprietary configurations, setup processes, or custom code
  • Assist or enable any third party in doing any of the above

Enforcement: Any unauthorized copying, reproduction, distribution, or use of our Proprietary Materials constitutes a material breach of these Terms and an infringement of OG Analytics Holdings, LLC's intellectual property rights. OG Analytics Holdings, LLC reserves the right to pursue all available legal remedies, including but not limited to:

  • Injunctive relief (court orders to stop infringing activity)
  • Recovery of actual damages and lost profits
  • Statutory damages where applicable
  • Recovery of attorneys' fees and legal costs

Survival: The obligations in this section survive termination of these Terms and any return of your device.

9. Scout Online Support

ProductiveBot includes access to Scout, an AI-powered support assistant available at support.productivebot.ai.

AI-Generated Responses: Scout is powered by Anthropic's Claude AI. Responses are generated automatically and may contain errors, outdated information, or incomplete guidance. Scout does not have real-time access to your ProductiveBot device. Always verify commands and instructions before executing them. OG Analytics Holdings, LLC does not guarantee the accuracy, completeness, or suitability of any response provided by Scout.

Data Processing: When you interact with Scout, your messages are processed through Anthropic's Claude API. Anthropic operates under a no-training policy for API customers, meaning your support conversations are not used to train AI models. However, OG Analytics Holdings, LLC retains conversation transcripts and may use aggregated, anonymized conversation data to improve Scout's knowledge base and ProductiveBot products. Diagnostic Data: When you share health check reports, screenshots, or system information with Scout, this data is stored and may be used for product improvement and support quality.

Commands and Updates: Scout may provide terminal commands or update scripts for your ProductiveBot. You are responsible for reviewing and understanding any commands before executing them. OG Analytics Holdings, LLC is not liable for any issues arising from the execution of commands provided by Scout.

Limitation of Liability: Scout is provided as a convenience and does not replace professional technical support for critical systems. OG Analytics Holdings, LLC shall not be liable for any damages, data loss, system malfunctions, or security issues resulting from following Scout's guidance.

Support Availability: Scout support is currently included at no additional cost with your ProductiveBot purchase. We reserve the right to modify Scout's availability, features, or pricing with 30 days' notice. Changes will be communicated via the email address associated with your Shopify account.

Usage Limits: We reserve the right to limit usage, including daily message limits, to ensure fair access for all customers.

10. Cloud Services, Subscriptions, and Skill Store Products

Certain ProductiveBot cloud services, subscriptions, and Skill Store products are governed by their own service-specific terms. When you use those services, the applicable terms are available at the service's website or within the ProductiveBot platform. Those service-specific terms supplement these Terms and control where there is a conflict regarding the applicable service.

These Terms are governed by the laws of the State of Missouri, United States.
